Terms of Service
Last updated: September 23, 2026 · version 2026-09-23
1. Purpose and acceptance
These Terms of Service (the “Terms”) govern the use of RingCasa, a cloud business phone service operated by SDG360 [legal form, Québec enterprise number and address to be completed] (“RingCasa”, “we”). They apply to the business that opens an account (the “Customer”) and to every person the Customer authorizes to use the Service (the “Users”).
By creating an account, ticking the acceptance box or using the Service, the person acting for the Customer confirms they are authorized to bind it and accepts these Terms on its behalf. The Service is intended for business use; it is not offered to consumers for personal use.
2. The Service
RingCasa provides, among other things, business phone numbers, placing and receiving calls in a browser, an Android app, a Chrome extension and on cell phones, a shared texting (SMS/MMS) inbox, voicemail with transcription, call recording, contact management, automatic missed-call texts, callback tracking and, as an add-on, a power dialer (the “Service”).
The Service relies on the Internet and on third-party providers, including telecommunications carriers. We may evolve, add or remove features. If we remove an essential feature of your plan, we will tell you in advance where reasonably possible.
3. Account and security
- Information provided at signup must be accurate and kept up to date.
- The Customer is responsible for the Users it invites, the permissions it grants them and all activity in its account.
- Each User keeps their credentials confidential. Tell us promptly about any unauthorized use.
- The Customer is responsible for the equipment, Internet connection and devices (computers, headsets, phones) used with the Service.
4. Free trial
A new Customer may use a free trial for the period shown at signup (14 days as of the date of these Terms), with no credit card. The trial has usage limits (for example, a maximum number of minutes and texts). When the trial ends, access to the Service is restricted until a paid plan is chosen. We may refuse, shorten or end a trial in case of abuse.
5. Plans, billing and taxes
- Plans. Plans, what they include (users, businesses, numbers, minutes and texts) and add-ons are described on the Pricing page. Included minutes and texts are counted per monthly billing period; unused amounts do not roll over.
- Payment. Payments are processed by our payment provider (Stripe). Subscriptions renew automatically, monthly or yearly as chosen by the Customer, until cancelled. The Customer authorizes us to charge amounts due to the payment method on file.
- Overage. Usage beyond what is included (minutes, texts) is billed at the end of each month at the current rates.
- Texting registration fees. Carrier fees for registering US numbers for texting (for example A2P 10DLC) are passed through at cost.
- Taxes. Prices are shown before tax. Applicable taxes (GST, QST, HST or state sales taxes) are added.
- Price changes. We may change our prices with at least 30 days’ notice. The new price applies from the next renewal.
- Refunds. Except where the law requires otherwise, amounts paid are non-refundable, including for a partially used period.
- Failed payments. If a payment fails, we may suspend the Service after notifying you.
6. Fair use of included minutes and texts
Included minutes and texts are meant for the normal use of a small business answering and communicating with its customers. The following are not normal use, among others: telemarketing or bulk calling outside the optional power dialer; reselling the Service or its minutes; sharing one User among several people to get around per-user pricing; using a number as a high-volume call-centre line; or any automated or abnormal use far beyond that of other customers.
If an account’s usage is clearly abnormal, we will contact the Customer to find a solution (for example a better-suited plan). We may limit or suspend the usage in question if it is not corrected or if it puts the Service or our numbers at risk.
7. No emergency calling (911)
RingCasa cannot be used to call 911 or any other emergency service (including enhanced 911 and relay services).
The Customer acknowledges that the Service does not replace a traditional phone line and agrees to: (a) keep another way to call emergency services (landline or cell phone) available at all times; (b) inform all its Users, and anyone who may use the Service, of this limitation. RingCasa is not liable for any damage resulting from the inability to reach emergency services through the Service.
8. Texting, consent and texting registration
- The Customer is the sender of its messages and is solely responsible for their content and for complying with applicable laws, including Canada’s Anti-Spam Legislation (CASL), the CRTC’s unsolicited telecommunications rules and, for US recipients, the Telephone Consumer Protection Act (TCPA) and carrier rules.
- The Customer obtains, and keeps proof of, any required consent before sending commercial electronic messages, identifies itself clearly in its messages and promptly honours every opt-out request (for example “STOP” or “ARRET”).
- Customer-owned texting registration. Where carriers require it (for example A2P 10DLC registration for US numbers), the registration is made in the Customer’s name, from the information the Customer provides. The Customer warrants that information is accurate and remains responsible for it. Carrier fees are passed through at cost. Carriers may filter, delay or block messages and may refuse a registration; RingCasa is not responsible for their decisions.
9. Call recording, transcripts and summaries
When the Customer turns on call recording, it is responsible for informing participants and obtaining any consent required by the laws that apply to it and to the people it talks to (including those of other provinces or states). Transcripts and summaries are generated automatically, including through artificial-intelligence providers; they may contain errors and should not be the only basis for an important decision.
10. Phone numbers
Numbers provided by RingCasa are assigned to the Customer for the duration of its subscription and are subject to carrier and regulatory rules. A Customer in good standing may ask to port a number to another provider; we will reasonably cooperate. After a subscription ends, a number may be released after 30 days and can then no longer be recovered.
11. Acceptable use
You may not use the Service to:
- send unsolicited messages or spam, or place automated or prerecorded calls that do not comply with the law;
- impersonate a person or business, or display misleading caller ID;
- harass, threaten, defraud or deceive anyone;
- transmit illegal or hateful content, or content that infringes the rights of others;
- try to access the Service without authorization, disrupt it, overload it or get around its limits;
- carry on any activity prohibited by the policies of our telecommunications providers.
12. Your data
The Customer keeps ownership of the data it puts into or generates in the Service (contacts, calls, recordings, voicemails, texts, notes) (“Customer Data”). It grants us only the rights needed to provide, secure and improve the Service. For personal information in Customer Data, we act on the Customer’s behalf, and the Customer remains responsible for collecting and using it in compliance with applicable law, including Québec’s Act respecting the protection of personal information in the private sector (Law 25) and PIPEDA. Our Privacy Policy describes our practices.
The Customer may export its data or ask for its deletion. When an account is closed, we delete or anonymize Customer Data within a reasonable time, subject to our legal obligations (for example tax records) and to backups, which are erased on their normal cycle.
13. Availability and support
We make reasonable efforts to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. Call quality depends in particular on the Customer’s Internet connection and on carrier networks. Maintenance may be needed; we try to schedule it outside peak hours. Support is offered in French and English, by email, during business hours.
14. Suspension and termination
- The Customer may cancel its subscription at any time from the app. Cancellation takes effect at the end of the period already paid.
- We may suspend or terminate an account, with notice where reasonable, for non-payment, breach of these Terms, use that puts the Service, our numbers or others at risk, or at the request of an authority or carrier.
- Sections that by their nature should survive the end of the agreement (including 7, 12, 15 and 17) remain in effect.
15. Warranties and limitation of liability
To the extent permitted by law, the Service is provided “as is” and “as available”, without any warranty other than those set out in these Terms. RingCasa is not liable for indirect, special or consequential damages, including lost profits, customers or data, or for missed, delayed or undelivered calls or messages. RingCasa’s total liability for any claim relating to the Service is limited to the amounts the Customer paid for the Service in the 12 months before the event giving rise to the claim. These limits do not apply in case of intentional or gross fault, or where the law does not allow them.
The Customer agrees to indemnify RingCasa against third-party claims arising from its content, its messages or any use of the Service contrary to these Terms or to the law.
16. Changes to these Terms
We may change these Terms. For a material change, we will notify the Customer by email or in the app at least 30 days before it takes effect. If the Customer does not accept the change, it may cancel its subscription before that date. Continued use of the Service after the effective date means acceptance.
17. Governing law and language
These Terms are governed by the laws of the Province of Québec and the federal laws of Canada that apply there. The courts of the judicial district of [district to be confirmed], Québec, have exclusive jurisdiction, subject to rules of public order.
These Terms are drawn up in French; this English version is provided for convenience. If the two versions differ, the French version prevails.
